1. Introduction Welcome to TheSchoolERP. These Terms and Conditions ("Terms") govern your use of the website, mobile application, and SaaS platform (collectively, the "Service") provided by Turbofy Ai & web Innovations Pvt Ltd., a private limited company incorporated under the laws of India, having its registered office in Chhatarpur, Madhya Pradesh.

By accessing or subscribing to our Service, you ("Subscriber", "School", or "You") agree to be bound by these Terms. If you do not agree, please do not use our Service.

2. Definitions

  • "Subscriber": The School or Educational Institution that purchases the subscription.

  • "End User": Teachers, Staff, Students, and Parents authorized by the Subscriber to use the App.

  • "Service": The cloud-based School Management ERP software provided by us.

  • "Data": All information (student records, fees, attendance, etc.) uploaded by the Subscriber.

3. License & Access

  • Grant of License: Subject to payment of subscription fees, we grant you a limited, non-exclusive, non-transferable, and revocable right to access and use the Service for your internal school management operations.

  • Restrictions: You shall not:

    • License, sell, rent, or lease the Service to any third party.

    • Reverse engineer, decompile, or disassemble the source code.

    • Use the Service to send spam, store unlawful content, or violate any Indian laws.

4. Account Registration & Security

  • To use the Service, you must register for an account providing accurate school details.

  • You are responsible for maintaining the confidentiality of your Admin Login credentials.

  • You are solely responsible for all activities that occur under your account. The Company is not liable for any loss or damage arising from your failure to protect your password.

5. Subscription Fees & Payment

  • Billing: The Service is billed on a subscription basis (Monthly/Yearly) as per the plan selected.

  • Payment: Payments must be made in advance. Failure to pay within [e.g., 7 days] of the due date may result in account suspension.

  • Taxes: All fees are exclusive of GST and other applicable taxes, which will be charged additionally.

  • Refunds: As per our Refund Policy, all payments are non-refundable once the service period has commenced.

6. Data Ownership & Privacy

  • Your Data: You (the School) retain full ownership of all data uploaded to the system. We claim no intellectual property rights over your student/staff data.

  • Data Processing: You grant us permission to process, store, and back up your data solely to provide the Service to you.

  • Privacy: Our use of data is governed by our [Privacy Policy]. We implement industry-standard security measures but cannot guarantee 100% security against sophisticated cyber-attacks.

7. Service Availability (SLA)

  • We strive to ensure 99.9% uptime of the Service.

  • However, the Service may be temporarily unavailable for scheduled maintenance or due to causes beyond our control (e.g., internet outages, natural disasters). We will notify you in advance of any planned maintenance.

8. Intellectual Property Rights

  • Turbofy Ai & web Innovations Pvt Ltd. owns all rights, title, and interest in the software, including the source code, design, logos (e.g., TheSchoolERP logo), and algorithms.

  • You acknowledge that the Service is a licensed product and not a "work for hire."

9. Limitation of Liability

  • To the maximum extent permitted by law, Turbofy Ai & web Innovations Pvt Ltd. shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profit).

  • Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to us in the last 3 months preceding the claim.

10. Termination

  • By You: You may stop using the Service at any time by canceling your subscription.

  • By Us: We may terminate or suspend your access immediately, without prior notice, if you breach these Terms (e.g., non-payment, misuse of data).

11. Governing Law & Jurisdiction

  • These Terms shall be governed by the laws of India.

  • Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Chhatarpur, Madhya Pradesh.

12. Changes to Terms We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or dashboard notification. Your continued use of the Service after changes constitutes acceptance of the new Terms.
